Terms of Use

Effective 1 October 2026

Please read these terms. By accessing or using this site you agree to them. If you do not agree, do not use the site.

These terms contain a binding arbitration agreement and a class action waiver, which limit your right to bring an action in court and to have disputes decided by a judge or jury. They also contain limitations on our liability to you.

1. Who we are

This site is operated by CenterNode Group ("CenterNode", "CNG", "we", "us"), a subsidiary of The Forest Road Company. CenterNode is a Forest Road company, and operates as a relying adviser under Forest Road Asset Management, an SEC-registered investment adviser.

Registration with the Securities and Exchange Commission does not imply a particular level of skill or training, and does not constitute an endorsement by the Commission.

Forest Road Securities BD, LLC, a FINRA registered broker-dealer and SIPC member, is an affiliate. Nothing on this site is a broker-dealer communication, and no securities are offered through it.

2. This site is information, not advice

Everything on this site is provided for general informational purposes only. It is not investment, legal, tax, accounting or financial advice, and it is not a recommendation to buy, sell or hold any security or to pursue any investment strategy.

Nothing on this site takes account of your particular objectives, financial situation or needs. Before acting on anything you read here, consult your own advisers.

3. No offer and no solicitation

This site is not an offer to sell, or a solicitation of an offer to buy, any security or investment product, and it is not an offer of advisory services in any jurisdiction where such an offer would be unlawful.

Any offer of interests in a fund or other investment vehicle managed or advised by CenterNode or its affiliates would be made only to eligible investors, only through definitive offering documents, and only in accordance with applicable law. Those documents, and not this site, govern any such offering in their entirety. In the event of any inconsistency, the offering documents control.

4. Forward-looking statements

Parts of this site describe expectations, plans, market conditions or intended strategy. These are forward-looking statements. They rest on assumptions and are subject to risks and uncertainties, many of them outside our control. Actual results may differ materially, and we undertake no obligation to update any forward-looking statement.

Past performance is not indicative of, and does not guarantee, future results. Any reference on this site to transactions, partnerships or portfolio activity is illustrative of the kind of work we do. It is not a representation that any particular result will be achieved, and it should not be read as a complete or representative list.

5. Our intellectual property

All names, logos, text, designs, graphics, interfaces, code, images, video, photographs and other content on this site (the "Content") is owned by us, our affiliates or our licensors, and is protected by copyright, trademark and other law. The site as a whole is protected as a collective work. You acquire no right, title or interest in any Content by using the site. Rights not expressly granted are reserved.

Subject to your compliance with these terms, we grant you a limited licence to access and use the site and its Content for informational purposes. No Content may be copied, reproduced, republished, performed, displayed, downloaded, posted, transmitted or distributed without the written permission of the rights owner. You agree not to reproduce, modify, rent, lease, perform, display, transmit, loan, sell, distribute or create derivative works based on any part of the site or the Content.

6. Your use of this site

You must comply with all applicable law. You may not use the site for any fraudulent or unlawful purpose, and you may not interfere with the site or with anyone else's use of it. Without our consent you may not:

  • transmit through the site any sensitive personal information about yourself or anyone else, such as social security, credit card or bank account numbers, or health or medical information, unless we have specifically asked for it;
  • reproduce, duplicate, copy, publicly display, frame, mirror, sell or resell any part of the site, or exploit it for any commercial purpose;
  • impersonate any person or entity, misrepresent your affiliation with any person or entity, or state or imply that we endorse anything you say;
  • violate or attempt to violate the security of the site;
  • introduce any virus, worm, spyware or other malicious code;
  • reverse engineer, disassemble or decompile the site, or attempt to derive its method of operation;
  • build a competing product or service using the site;
  • interfere with the operation or hosting of the site, or monitor its availability or performance;
  • use data mining, bots, spiders or other automated means to collect information from the site or from anyone using it; or
  • help anyone else do any of the above.

Linking. You may create text hyperlinks to this site for informational purposes, provided the link does not portray us falsely, misleadingly or in a derogatory way, and provided the linking site contains no unlawful, harassing, defamatory, fraudulent, obscene, discriminatory or otherwise objectionable material. Subject to any instructions in the site's robots.txt file, we grant operators of public search engines permission to use spiders to copy Content for the sole purpose of creating publicly available searchable indices, but not caches or archives. We may revoke these permissions at any time.

7. Third-party content and links

Any information, statement or opinion provided by a third party and made available on this site is that of its author, not ours. We do not guarantee the validity, accuracy, completeness or reliability of third-party content.

We may link to websites, social media pages or services operated by others, as a convenience. If you follow such a link you leave this site, and you do so at your own risk. We make no warranty about, and do not endorse, any linked site or anything on it. A link does not imply that we are authorised to use any trademark or logo displayed through it, or that the linked site is authorised to use ours.

Press coverage linked from this site reflects the views of its authors and publishers, not ours, and was accurate only as of its publication date.

8. Changes to these terms

We may revise these terms. Changes take effect when published on this page unless noted otherwise, and the effective date above will tell you when they last changed. We will make reasonable efforts to notify you of material changes. Your continued use of the site after a change means you accept the revised terms. If you do not agree, stop using the site.

We may assign these terms at any time. You may not assign them without our prior written consent.

9. Termination

We may suspend, limit or terminate your access to this site at any time, with or without notice and with or without cause, including if we believe you have acted inconsistently with these terms. On termination you must stop using the site and destroy any Content obtained from it.

The provisions concerning intellectual property, authorised use, disclaimers, limitation of liability, indemnity and disputes survive termination, along with any other provision that by its nature should.

10. No warranty

This site and its Content are provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and availability.

We do not warrant that the site will be uninterrupted or error free, that defects will be corrected, or that the site or its servers are free of harmful components. Information on the site may become out of date and we are under no obligation to update it.

11. Limitation of liability

To the fullest extent permitted by law, neither we nor our affiliates, subsidiaries, members, managers, officers, employees, agents, suppliers or service providers will be liable for any damages arising out of or relating to these terms or this site, including damages caused by errors, omissions, interruptions, defects, delay in operation or transmission, or any computer virus or failure.

We will also not be liable for any indirect, special, incidental, exemplary, punitive or consequential damages, or for any loss of data, profits, revenue, business or goodwill, even if advised of the possibility. If we are nonetheless found liable, our liability is limited to the greater of the total amount we have received from you, or the lowest limitation permitted by applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.

12. Indemnity

You agree to indemnify, defend and hold harmless us, our affiliates and our directors, officers, employees, agents, shareholders, successors, assigns and contractors from any claim, damage, suit, action, liability, judgment, loss or cost, including reasonable legal fees, arising out of your breach of these terms, your use of this site, or the information you provide to us through it. We may assume the exclusive defence and control of any such matter at your expense, and you agree to cooperate.

13. Electronic communications

When you use this site or send us a message through it, you are communicating with us electronically, and you consent to receive communications from us electronically. You agree that all notices, disclosures and other communications provided to you electronically satisfy any legal requirement that they be in writing. Notices are effective when sent to the email address you provide. By giving us your email address you agree that we may contact you there, consistent with our Privacy Policy.

14. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. California residents may exercise their rights through our California Privacy Request page.

15. Disputes, arbitration and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows more limited discovery than a court, and is subject to very limited review. This provision survives termination of these terms.

Any dispute, claim or controversy arising out of or relating to these terms, the Privacy Policy, or their breach, termination, enforcement, interpretation or validity, including the scope of this agreement to arbitrate, will be determined either by binding arbitration under the JAMS Comprehensive Rules and Procedures, before one arbitrator, at a location within the City of Los Angeles, California, or in the small claims division of the Superior Court of California, Los Angeles County. If the arbitrator finds that location unreasonably burdensome to you, another may be selected or the arbitration conducted remotely. Judgment on the award may be entered in any court of competent jurisdiction. This clause does not prevent either party from seeking provisional remedies in aid of arbitration.

No class actions. You and we agree that each may bring claims against the other only individually, and not as a plaintiff or class member in any purported class or representative proceeding. Unless both parties agree, the arbitrator may not consolidate more than one person's claims or preside over any representative or class proceeding. If this specific provision is unenforceable, the entirety of this arbitration provision is null and void.

Starting an arbitration. Before filing, send written notice of your claim by certified mail to the address in the Contact section below, describing the nature and basis of the claim and the relief sought. If we initiate, we will send notice to an email address you have given us. If the claim is not resolved within 30 days of receipt, either party may commence arbitration or file in small claims court. If you are required to pay a filing fee, we will reimburse it once we receive notice that you have commenced arbitration, unless the claim exceeds US$10,000 or the arbitrator finds it frivolous.

Hearing. If your claim is for US$10,000 or less you may choose whether the arbitration proceeds on documents alone, by telephone or video, or in person under the JAMS Rules. Above that, the JAMS Rules govern.

Injunctive relief. Either party may sue in court to enjoin infringement or misuse of intellectual property, or in other circumstances where injunctive relief is appropriate.

Confidentiality. The parties will maintain the confidentiality of the arbitration and the award, except as necessary to conduct the arbitration, to seek a court remedy, or as required by law.

Governing law. These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. The parties acknowledge that these terms evidence a transaction involving interstate commerce, and any arbitration will be governed by the Federal Arbitration Act (9 U.S.C. ยงยง 1-16). The arbitrator may not award punitive, exemplary, incidental, indirect or consequential damages except where permitted by statute.

16. Users outside the United States

This site is directed at persons in the United States. We make no representation that its content is appropriate or available for use elsewhere. If you access it from outside the United States you do so on your own initiative and are responsible for compliance with local law.

If you are a consumer, you keep the benefit of any mandatory provisions of the law of your country of residence, and nothing here affects those rights. We may limit the availability of this site to any person, geographic area or jurisdiction at any time. These terms and all related documents will be in English only.

17. General

If any provision of these terms is held invalid or unenforceable, it will be replaced by a valid term that most closely matches its intent, or removed, and the rest remains enforceable. Our failure to enforce a provision is not a waiver of it. These terms and the Privacy Policy are the entire agreement between you and us in relation to this site, and supersede any prior understanding about it. Nothing on this site forms part of an employment contract or an offer of employment.
